1. Scope and contracting entity

1.1 These Terms of Service ("Terms") govern all contracts for the Services between the Client and the SupplyzPro entity responsible for the Client's country ("SupplyzPro", "we", "us"):

• Clients with registered seat in Tunisia: Supplyz Inventory SARL, 46 Rue Chedly Kallala, 1002 Bab Bhar, Tunis, Tunisia, RNE identifiant unique 1818863S.
• Clients with registered seat in Morocco: [SupplyzPro Morocco entity, Casablanca], once incorporated. Until then: SupplyzPro UG.
• Clients in all other countries: SupplyzPro UG (haftungsbeschränkt), Stollbergstraße 22, 80539 Munich, Germany, Amtsgericht München HRB 308028.

1.2 Business clients only. The Services are offered exclusively to businesses, including companies, public bodies and self-employed professionals acting in their professional capacity. They are not offered to consumers. By registering, the Client confirms that it acts for business purposes.

1.3 The Client's own general terms do not apply, even if SupplyzPro does not expressly object to them.

1.4 For enterprise contracts, including the integration of DALI into third-party ERP systems, a signed order form or individual contract applies. Where it differs from these Terms, the order form or contract prevails.

2. Definitions

• Platform: the SupplyzPro business management software, including web and mobile interfaces, APIs and the WhatsApp channel.
• DALI: the AI agent of SupplyzPro, available via WhatsApp and inside the Platform.
• Services: the Platform, DALI, modules, onboarding, support and all related services.
• Client: the business that concludes a contract with SupplyzPro.
• User: a natural person authorized by the Client to use the Services on its behalf.
• Authorized Number: a WhatsApp phone number registered in the Client's account as belonging to a User.
• Client Data: all data, documents and content that the Client or its Users enter, upload or send to the Services, including via WhatsApp.
• Module: a functional area of the Platform that is priced separately, such as Commercial, Inventory, HR or Treasury.
